The Board of Managers of the Walker County Hospital District, Walker County, Texas met in a Special Board Meeting, open to the public, Wednesday, June 20, 2018, at 5:00 p.m. at the First National Bank Building (Walker County Hospital District Business Office) 5th Floor Suite # 515, Huntsville, Texas.
Members of the Board present included:
Chairman, Anne Woodard
Vice Chairman, Judy Emmett
Secretary, Jerry Larrison
Manager, Curtis Montgomery
Manager, David Toronjo
Also in attendance were: Keli Molina, WCHD Administrative Assistant; Ralph Beaty, WCHD Office Administrator; Attorney by phone Brenda Strama; Trey Wood Attorney at Bracewell; Rich Heiland, Walker County News Today and guest Maria McIver.
Agenda Item #1: Call meeting to order.
Chairman Woodard called the meeting to order at 5:13 p.m.
Agenda Item #2: Adjournment to closed or executive session as necessary and authorized by Section 551.001 et seq. of the Texas Government Code (the Open Meetings Act).
- Discuss proposed contract with Hammond Hanlon Camp, LLC (H2C).
- Consultations with attorney regarding legal issues related to real estate transaction
Agenda Item #3: Reconvene in open meeting.
Agenda Item #4: Review contracts with Hammond Hanlon Camp, LLC (H2C)—vote to approve, reject or modify/amend the contracts.
Chairman Anne Woodard stated this is a contract that needs immediate resolution so that the search for a District partner can begin quickly. The Investment Banker will seek a purchaser that can provide the capital, synergies of scale with regard to purchasing power, leverage with managed companies, and quality of care Huntsville memorial Hospital needs.
Mrs. Emmett made a motion that the District Managers accept the proposed agreement in substantially the same form as the June 20th Draft subject to changes to #7 & #8 and the Managers empower the District Chair, to continue discussions, if necessary, and to sign an agreement with H2C that is substantially consistent with the June 20, 2018 draft.
